These Terms of Service ("Terms") govern your access to and use of Legistra.

By creating an account, signing in, or using any part of the Service, you agree to these Terms.

If you use the Service on behalf of an organization, you confirm you are authorized to bind that organization.

Definitions

  • "Service" means the Legistra web app, APIs, and related services.
  • "Account" means an account created by you or an authorized user.
  • "Client Portal" means the client-facing experience provided by the Service.
  • "Content" means data, files, or information you upload or generate through the Service.

Eligibility

You must be legally able to enter into a contract in your jurisdiction to use the Service.

If local law requires parental or guardian consent for your use, you must obtain it.

Account Security

You are responsible for maintaining the confidentiality of your credentials and access tokens.

Notify us promptly of any unauthorized access or suspected security incident.

You are responsible for all activity under your account unless prohibited by law.

Subscriptions, Billing, and Taxes

Legistra is offered as a subscription service with plan-based pricing.

Charges may recur monthly or annually depending on your plan.

You authorize us and our payment providers to charge your payment method for fees and applicable taxes (including VAT where required).

If payment fails, we may suspend access until payment is resolved.

Refunds and Cancellations

Unless required by law, subscription fees are non-refundable.

You may cancel at any time. Cancellation stops future billing but does not refund past charges.

Your Data and Ownership

You retain ownership of all Content you upload.

You grant us a limited license to host, process, and display your Content solely to operate the Service.

You are responsible for ensuring you have the rights to upload Content and that it complies with applicable laws.

Acceptable Use

  • Do not use the Service for unlawful purposes.
  • Do not attempt to compromise the security or integrity of the Service.
  • Do not upload malware, abuse automated access, or interfere with other users.
  • Do not use the Service to violate confidentiality, privacy, or professional obligations.

Confidentiality and Professional Obligations

The Service supports legal workflows, but you remain responsible for professional compliance in your jurisdiction.

You must ensure that client data is uploaded and shared only with appropriate authorization.

Data Protection

When we process personal data on your behalf, we act as a processor and you act as the controller (or as another processor) under the GDPR.

A Data Processing Agreement (DPA) may apply to your use of the Service. Contact us to request a copy.

We implement appropriate technical and organizational measures to protect personal data.

Service Availability and Changes

We aim for high availability but do not guarantee uninterrupted access.

We may modify, suspend, or discontinue features with reasonable notice.

Third-Party Services

The Service may integrate with third-party services. Your use of those services is subject to their terms and privacy policies.

We are not responsible for third-party services that you choose to use.

Intellectual Property

Legistra and its branding, software, and documentation are protected by intellectual property laws.

You may not copy, modify, distribute, or reverse engineer any part of the Service without permission.

Feedback

If you provide feedback, you grant us a non-exclusive, royalty-free license to use it to improve the Service.

Warranties and Disclaimers

The Service is provided on an "as is" and "as available" basis.

To the maximum extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, or consequential damages.

Our total liability for any claim is limited to the amount paid by you for the Service in the 12 months prior to the claim.

Indemnification

You agree to indemnify and hold us harmless from claims arising out of your use of the Service, your Content, or your violation of these Terms.

Suspension and Termination

We may suspend or terminate access if you breach these Terms or if required by law.

You may stop using the Service at any time. Upon termination, your right to use the Service ends.

Mandatory Consumer Rights

If you are a consumer in the EU/EEA, UK, or Switzerland, mandatory consumer protection laws apply.

Nothing in these Terms limits rights that cannot be waived under applicable law.

Governing Law

These Terms are governed by the laws of Belgium, without regard to conflict of laws rules.
